attorney Venue Contract

Hello! By NO means I want “free” service. I know this is a blog and was curious if there are any Attorneys or ParaLegal in Wedding Wire World. This is because I wanted to send whomever you are a 19 sentence excerpt to your wedding wire messages from our Venue Contract to ensure that I am comprehending it correctly that we would get a refund due to the PANDEMIC. We do plan on emailing our venue ; however, I thought I would ask here also. I am an Educator but not a perfect person ; therefore, I wanted another “set of eyes” on it. Please Advise RESPECTFULLY a Bride

    I'm a legal secretary, not an attorney. I can't give you legal advice, but I do spend a lot of time reading legal language, including contracts, and can often decipher the meaning behind the words when my friends and family can't.
    I would be happy to read the excerpt, and tell you if I think you're taking its meaning correctly. Just send me a direct message if you want to do it privately. Otherwise, you could post it here, and get lots of opinions. lol, maybe that's not what you're looking for.

    I'm not sure if you were hoping someone who works for WW would be able to look at it.

    11. Miscellaneous. In case any one or more of the provisions contained in this Agreement shall for any reason be held invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision, and this Agreement shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein. Neither Club nor Member/Client shall be required to perform any term, condition, or covenant in this Agreement so long as such performance is delayed or prevented by force majeure, which shall mean acts of God, war, terrorist act, strikes, lockouts, material or labor restrictions, damage to or destruction of Club facilities, or prohibitions by any governmental authority. In the event that the Event is cancelled as the result of a force majeure event, all deposits shall be returned to Member/Client, less actual costs incurred by Club in anticipation of the Event. In no event shall Club be liable for the failure of or interruption of utilities. If, for any reason, the space reserved hereunder is not available for the Event, the Club may substitute other space and the Member/Client agrees to accept such substitutions. This Agreement and attachments embody the entire agreement and understanding of the parties relating to the subject matter hereof, is nonassignable, may not be amended except in writing signed by both parties, and supersedes any prior representations, agreements, and understandings, oral or written, if any, relating to such subject matter. All notices, including a cancellation notice, must be in writing. Text messages, instant messages, messages on social media sites, and similar messages are not "in writing" for purposes of this Agreement. This Agreement shall be deemed drafted by all parties and shall be interpreted in accordance with the plain meaning of its terms and not strictly for or against any of the parties hereto. This Agreement may be executed by facsimile or other electronic means, and each facsimile or other electronic signature shall be deemed to constitute a valid and binding signature of the executing party.12. Governing Law and Place for Suit. This Agreement will be deemed to be a contract under the laws

    You're very welcome! As a legal secretary, I see contracts all the time. The force majeure clause is a really common tool.
    No, we decided to postpone to May 2021. We didn't want to give up on our dream wedding or settle for something we didn't want. So pushing it out to next year was the right thing for us.

    I understand our is January 2021 and we are making payments. And we thinking far ahead what if we do not get all this money back !
    But the contract said “depositS” so I think we should be getting back all our money if something happens

    Skeptical to keep paying and what if this pandemic still around. ?
    What if they only try to give us back our down payment to reserve date and NOT give us back ALLLLL the thousands of other payments ?That’s why I wanted clarity on the contract. I saw on news said by August they speculating 60,000 deaths it’s ALL so sad. I feel for all the brides at this time !

    Yes that is something to consider. But remember that most vendors will allow you to postpone if necessary, without any penalties. There are some couples canceling their events completely. But most are only postponing. We're still getting married at that venue. It will just be a later date. Then all the payments you've made will go towards the new date. If you cancel and book with a new venue you lose what you've paid to the old venue.
    I don't think it will be an issue for you. You're still 9 months away. I know it's hard not to worry. But everything will work out!
